Governance structure

DENIOS SE is a European public limited-liability company, and is subject to EC Regulation 2157/2001 on the Statute for a European company (SE). Its Administrative Board, which is made up of Dr Daniel Gutting (Deputy Chairman), Mr Ralf Lagerbauer and Mr Siegfried Horn plus Mr Dennig as its Chair, is responsible for managing the SE, thus following the one-tier system. The Administrative Board must appoint Managing Directors to manage the company's day-to-day business and represent the one-tier SE. These Directors are Helmut Dennig (Chief Executive Officer), Dr Alexander Meckelnborg (Chief Technical Officer), Ricarda Fleer (Chief Finance Officer) and Horst Rose (Chief Sales Officer).

During the four meetings a year, the Administrative Board is informed about current business activities and brings its own experience to bear. At the penultimate meeting of the year, the Administrative Board is presented with a rough outline of the investment and personnel planning, which is then finalised at the last meeting. Due to their many years of collaboration (all three gentlemen had already been members of the Supervisory Board of Denios AG), they enjoy a close relationship of trust and always work well and constructively together.

The distribution-of-business plan defines the responsibilities of the Managing Directors. As Chair of the Administrative Board, Helmut Dennig is responsible for matters such as the strategic development and business policies of the DENIOS Group and ensuring it maintains a forward-looking approach to business. He also manages and develops the real estate and buildings of all DENIOS companies.

Ricarda Fleer (CFO) is in charge of coordination tasks and organisational matters for the Committee of Managing Directors in accordance with the Rules of Procedure and manages the Finance division and the Quality Management, Human Resources and Controlling departments. She manages the strategic and operative development of all the Group's financial activities and is responsible for quality, environmental, energy and ideas management, as well as for audits. She supervises the Group Companies in Austria, Italy, Poland, Finland, Sweden and the UK.

Managing Director Dr Alexander Meckelnborg (CTO) manages the International Technical Operations, Innovation and Engineering departments. He is responsible for occupational health and safety in the company as well as for maintenance and for plant and system planning. He is also in charge of the production companies in France, the Czech Republic and the USA.

As Managing Director for Marketing/Sales (CSO), Horst Rose manages the Marketing, Sales Catalogue Products and Sales Engineered Solutions departments as well as Logistics, Digital Business and IT. As part of this, he manages the Group's strategic and operating marketing and is responsible for its corporate identity, its IT strategy and the Foreign Trade and Data Protection Officer in the Group. He manages the foreign companies in China, Denmark, the Netherlands, Spain and Switzerland.

The Managing Directors are jointly responsible for the overall strategic management of the companies, managing and developing the focus countries, business development, commercial management and administration of the DENIOS Group, as well as the safety and risk management.

After the CSR team, the Managing Directors also take on responsibility for decisions on economic, ecological and social issues. As part of the CSR teams, Horst Rose is directly involved in initial discussions, the definition of objectives and the decision-making process within the CSR team.

Management structure and composition
